1. Introduction & Acceptance

Welcome to StartuPage. These Terms of Service ("Terms") govern your access to and use of StartuPage's platform, services, and features.

By creating an account or using StartuPage, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

StartuPage is a professional networking platform connecting founders, investors, and professionals in the startup ecosystem. Our mission is to facilitate meaningful connections, opportunities, and collaboration.

2. Eligibility

To use StartuPage, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Use the platform for professional and business purposes related to the startup ecosystem
• Provide accurate and complete registration information
• Not be prohibited from using our services under applicable law

3. User Accounts

Account Creation: When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities under your account

Account Types: We offer both free and premium account tiers with different features and limitations as described on our Pricing page.

4. Acceptable Use

You agree NOT to use StartuPage to:

• Create fake, misleading, or fraudulent profiles
• Impersonate any person or entity
• Harass, abuse, threaten, or intimidate other users
• Send spam, unsolicited marketing, or commercial messages
• Post discriminatory, offensive, or inappropriate content
• Violate any laws, regulations, or third-party rights
• Scrape, crawl, or data-mine the platform without permission
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the platform's functionality
• Upload malware, viruses, or malicious code

We reserve the right to investigate violations and take appropriate action, including account suspension or termination.

5. Content Ownership & License

Your Content: You retain all ownership rights to the content you post on StartuPage, including your profile information, startup details, posts, and media.

License to StartuPage: By posting content, you grant us a non-exclusive, worldwide, royalty-free license to:

• Display your profile and content on the platform
• Distribute and promote your startup information to relevant opportunities
• Include your profile in discovery features (leaderboard, search, recommendations)
• Use your content for platform improvements and analytics (in aggregated/anonymized form)

Intellectual Property: You represent and warrant that you have the rights to all content you post and that it does not infringe on any third-party intellectual property rights.

6. Platform Services

StartuPage provides various features including:

• Professional Profiles: Create and showcase your startup or professional profile
• Opportunities: Browse and apply to hiring, fundraising, and co-founder opportunities
• Leaderboard: Compete and gain visibility through platform engagement
• Events: Discover and participate in startup ecosystem events
• Discovery: Get matched with relevant investors, co-founders, and talent

Service Availability: We strive to maintain platform availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time with reasonable notice.

7. Payment Terms

Premium Subscriptions: If you purchase a premium subscription:

• Payments are processed securely through Stripe
• Subscriptions renew automatically at the end of each billing period
• You can cancel your subscription at any time from your account settings
• Cancellations take effect at the end of the current billing period
• All fees are non-refundable unless required by law
• We may change pricing with 30 days' notice to existing subscribers

Refund Policy: We do not offer refunds for partial months or unused features, except where required by applicable consumer protection laws.

8. Disclaimer & Limitation of Liability

Platform "As Is": StartuPage is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee:

• The accuracy, completeness, or reliability of user-generated content
• Successful connections, opportunities, or business outcomes
• Uninterrupted, error-free, or secure platform access
• Freedom from viruses or malicious code

Limitation of Liability: To the maximum extent permitted by law, StartuPage and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from user interactions, transactions, or disputes
• Third-party conduct or content

Indemnification: You agree to indemnify and hold harmless StartuPage from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your content, or your violation of these Terms.

9. User Interactions & Transactions

StartuPage is a platform that facilitates connections. We are not a party to any agreements, transactions, or relationships between users. You are solely responsible for:

• Evaluating the accuracy and suitability of opportunities
• Conducting due diligence on potential co-founders, investors, or employers
• Negotiating and documenting any agreements
• Resolving disputes with other users

10. Termination

By You: You may delete your account at any time from your account settings. Upon deletion:

• Your public profile will be removed within 24 hours
• Your personal data will be deleted within 30 days (subject to legal retention requirements)
• Premium subscriptions will not be refunded for the remaining period

By StartuPage: We may suspend or terminate your account if you:

• Violate these Terms or our policies
• Engage in fraudulent or illegal activities
• Pose a security risk to the platform or other users
• Fail to pay subscription fees

11. Dispute Resolution

Governing Law: These Terms are governed by the laws of the jurisdiction where StartuPage operates, without regard to conflict of law principles.

Informal Resolution: If you have a dispute, please contact us first at support@startupa.ge to seek an informal resolution.

Arbitration: Any disputes that cannot be resolved informally will be resolved through binding arbitration, except where prohibited by law. You waive your right to participate in class actions.

12. Changes to These Terms

We may modify these Terms from time to time. Significant changes will be communicated via:

• Email notification to your registered address
• Prominent notice on the platform
• Update to the "Last updated" date above

Your continued use of StartuPage after changes become effective constitutes acceptance of the modified Terms.

13. Miscellaneous

Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and StartuPage.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
